Riyadh — Mubasher: Al Kathiri Holding Company has invited its shareholders to an ordinary general meeting (OGM) scheduled for 29 October.
The meeting, to be held virtually at 18:30, will focus on the approval of multiple related-party transactions conducted during the 2025 fiscal year involving board member Meshal Mohammed Nasser Al Kathiri.
The agenda includes voting on a SAR 21.31 million contract between Msandh Al Emdad Limited and Alian Industry Company, and a SAR 449,891 agreement between Luxury Yacht for Industry and Alian Industry Company.
Shareholders will also vote on a SAR 28.36 million transaction between the parent company, Al Kathiri Holding, and Alian Industry Company. Combined, these related party dealings total SAR 50.14 million.
Additionally, the assembly will vote on the appointment of Rawan Mohammed Abdullah Al Dawood as an independent director.
Al Dawood was appointed by the board on 13 September 2026 to fill a vacancy for the remainder of the current term ending 6 May 2030.
The meeting requires a quorum of shareholders representing at least 25% of the SAR 113 million paid-up capital. Electronic voting is set to commence on 25 October.
