Arabian Cement concludes subsidiary exit, share swap deal

Riyadh – Mubasher: Arabian Cement Company completed a share swap and exit deal involving its subsidiary, Arabian Cement Bahrain Holding Company.

The transaction involved the subsidiary exiting its position in Ready Mix Concrete and Construction Supplies in exchange for acquiring stakes held by that firm and Al Rawsha for Investment and Trade in Qatrana Cement Company, located in Jordan.

The financial impact of the transaction includes a capital gain of SAR 18.90 million from the sale of the subsidiary's stake in Ready Mix Concrete and Construction Supplies.

Additionally, equity attributable to the shareholders of the parent company rose directly by SAR 21.30 million.

Combined with the capital gains, the total direct and indirect increase in equity for parent company shareholders reached SAR 40.20 million.

Following the acquisition of the additional interest, the subsidiary’s ownership in Qatrana Cement increased by 9.40%, bringing its total stake to 96.14% from a previous 86.74%.

This change in ownership structure resulted in a SAR 70.30 million decrease in non-controlling interest balances. The deal follows previous disclosures regarding the agreement made on 29 December 2025 and 22 July 2026.
