Dallah Healthcare’s board recommends 20% capital raise via bonus shares

Riyadh – Mubasher: The board of Dallah Healthcare Company proposed increasing the company’s capital by 20% through the issuance of one bonus share for every five held shares.

In their 4 March 2026 meeting, the board members recommended raising the capital from SAR 1.01 billion to SAR 1.21 billion, according to a bourse disclosure.

The number of shares after the capital hike will stand at 121.88 million shares, compared to 101.57 million shares prior to the increase transaction.

Dallah Healthcare stated that “the capital increase aims to strengthen the company’s capital base in line with its total assets and enhance its financial position.”

The company added that SAR 93.61 million will be funded through the statutory reserve and SAR 109.53 million will be financed from share premium.

Meanwhile, the bonus share issuance is subject to obtaining the approvals of the competent authorities and the extraordinary general assembly for the capital increase and the number of shares granted.

Dallah Healthcare currently holds 471,821 treasury shares under the Employee Share Incentive Program. Subject to obtaining the required approvals for the proposed 20% capital increase, the number of treasury shares will be adjusted proportionately to approximately 566,186 shares in line with the capital increase ratio.

In case additional treasury shares are purchased between the date of this decision and the date of the shareholders' meeting, the bonus shares will be issued at the proposed 20% rate against these additional treasury shares.

Furthermore, the extraordinary general assembly will be requested to approve the amendment of the maximum limit of shares allocated to the Employee Share Incentive Program to become 1.20 million shares instead of 1 million shares, in line with the proposed capital increase.

It is worth noting that in 2025, Dallah Healthcare registered SAR 538.27 million worth of net profits, while the board members decided to pay out cash dividends worth SAR 50.55 million to the shareholders for the fourth quarter (Q4).
